When is it due?
The initial statement is due within 90 days of the entity's initial California filing. A stock corporation then files every year and pays $25. An LLC files every two years and pays $20.

What changed for online filing?
Since August 1, 2026, online filing has required a User Access account with access to the specific entity record. A login opens the account; authority over that record permits the filing. The Secretary of State filing page explains the requirement.
Questions about the statement
Is this the same as annual minutes?
They are separate records. The statement is filed with the Secretary of State, while minutes stay with the company and document its proceedings.
What happens if the statement is not filed?
The state can impose a $250 penalty on a corporation or LLC, and continued nonfiling can lead to suspension. The FTB penalty page and Secretary of State FAQs explain the consequences. The filing deadline and the date of any later suspension are separate events.
